Welcome to Syncora.ai, a service operated by Syncora Technologies, Inc. ("Syncora," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of Syncora's self-serve synthetic data engine, on-chain data hub, and related services (collectively, the "Services"). By accessing or using the Services, you ("User," "Contributor," or "Buyer") agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. Eligibility and Compliance
- You represent and warrant that you have the legal capacity to enter into these Terms.
- You agree to comply with all applicable laws and regulations, including but not limited to the General Data Protection Regulation (GDPR), the Health Insurance Portability and Accountability Act (HIPAA), and any other applicable data privacy and security frameworks.
- The Services are not intended for individuals under 18.
2. Contributors and Data Submission
- Ownership: Contributors retain full ownership of any raw data submitted to the Services. Syncora does not claim title to Contributor's raw data.
- License Grant to Syncora: By submitting data, Contributor grants Syncora a limited, non-exclusive, transferable, sublicensable, worldwide license to (i) validate, (ii) synthesize, and (iii) distribute synthetic derivatives of the submitted data via the Services.
- Deletion of Originals: Syncora's pipeline deletes all raw data post-validation and synthesis. Only synthetic copies and anchored proofs remain in the system.
- Representations: Contributors represent and warrant that they have all necessary rights, permissions, and lawful bases to submit data, and that such data does not infringe intellectual property or violate the rights of any third party.
3. Buyers and Usage Rights
- License Grant: Buyers who acquire synthetic datasets via the Services are granted a non-exclusive, worldwide, royalty-bearing license to use the synthetic datasets solely for internal model training, testing, and evaluation purposes.
- Restrictions: Buyers may not resell, sublicense, or publicly distribute datasets without explicit written consent from Syncora.
- No Re-Identification: Buyers are prohibited from attempting to reverse engineer, re-identify, or otherwise reconstruct original personal data from synthetic datasets.
4. Intellectual Property
- All rights in the Services, including software, pipelines, agents, and on-chain mechanisms, remain the exclusive property of Syncora Technologies, Inc. and its licensors.
- Synthetic datasets generated by the Services are deemed derivative works owned by Syncora, licensed to Buyers subject to Contributor royalties.
- Contributors retain ownership of raw data but acknowledge that synthetic outputs and distribution rights belong to Syncora.
5. Data Privacy & Security
- Syncora operates a GDPR and HIPAA-compliant pipeline, including automated PII detection, anonymization, and deletion of raw data.
- Syncora implements industry-standard security safeguards, including encryption in transit and at rest, secure enclaves, and access controls.
- Despite these safeguards, Users acknowledge that no system is entirely secure and accept inherent risks.
6. Payments & Royalties
- Contributors are entitled to royalties as defined by the Syncora reward model (e.g., 80% royalties from dataset resale).
- Buyers agree to pay fees in accordance with the applicable pricing or tokenomics model ($SYNKO or fiat).
- Syncora may deduct platform fees (e.g., 20%) before distributing Contributor royalties.
7. Limitations of Liability
- The Services and datasets are provided "as is" and "as available." Syncora makes no warranty of accuracy, fitness for purpose, or non-infringement.
- To the maximum extent permitted by law, Syncora and its affiliates shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising from or relating to the Services.
- Syncora's total liability shall not exceed the greater of (i) fees paid by the User in the past twelve months, or (ii) USD $100.
8. User Indemnification
Users agree to indemnify and hold harmless Syncora Technologies, Inc., its affiliates, and its personnel from any claims, liabilities, damages, or expenses arising out of:
- submitted data,
- misuse of synthetic datasets, or
- violation of these Terms or applicable law.
9. Termination
- Syncora may suspend or terminate access to the Services at its sole discretion if a User breaches these Terms or engages in unlawful conduct.
- Upon termination, all licenses granted herein shall immediately cease.
10. Dispute Resolution
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
- Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
- Venue: The place of arbitration shall be New York, New York, USA, unless the parties mutually agree otherwise.
- Language: The arbitration shall be conducted in English.
- Exclusions: Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened misuse of intellectual property or confidential information.
11. Modifications
Syncora reserves the right to modify these Terms at any time. Material changes will be posted on our website, and continued use of the Services constitutes acceptance of the revised Terms.
